BENGALURU — The Canada Pension Plan Investment Board (CPPIB) is set to invest up to ₹3,000 crore (about $314.4 million) in Prestige Hospitality Ventures Ltd (PHVL), the hotel arm of Prestige Group, for an aggregate stake of up to 28%, according to a stock exchange disclosure.
The proposed transaction values Prestige’s hospitality platform at roughly ₹10,714 crore (around $1.1 billion) on an implied equity basis, marking one of the largest institutional bets on India’s branded hotel sector this year.
Deal Structure: Multiple Tranches Under a Binding Framework Agreement
The investment will be made in multiple tranches under a binding framework agreement cleared by a sub-committee of the Prestige Estates Projects board on 10 August 2026. The capital infusion will combine primary investment (fresh equity into PHVL) and secondary investment (purchase of existing shares), with the final mix to be agreed between the parties in the definitive documents.
Completion remains conditional on due diligence, negotiation and execution of definitive agreements, and receipt of the necessary lender and regulatory approvals. The final valuation and ownership structure will therefore depend on the terms eventually agreed.

Inside PHVL: Close to 4,000 Keys Across Bengaluru, Mumbai, Goa and Delhi
PHVL is currently a wholly owned subsidiary of Prestige Estates Projects, with its shares held by the company and its nominees. It develops and operates luxury, upper-upscale and upper-midscale hotels aimed at both business and leisure travellers.
- Seven operating properties — 1,445 keys
- Three ongoing projects — 951 keys
- Nine upcoming developments — 1,558 keys
That adds up to a pipeline of roughly 3,954 keys spread across major markets including Bengaluru, Mumbai, Goa and Delhi.
Operational Hotels
PHVL’s running portfolio in Bengaluru includes Sheraton Grand, JW Marriott, Conrad, Angsana Oasis Spa & Resort, Mulberry Shades, Moxy and Marriott Executive Apartments.
Under Development
Ongoing projects include Marriott Marquis and St. Regis in Delhi, along with Forum North in Bengaluru.
IPO Approval Already in Hand
PHVL filed its draft red herring prospectus (DRHP) with the Securities and Exchange Board of India (SEBI) in April 2025, seeking to raise ₹2,700 crore through a public issue. SEBI cleared the offer in August 2025. The CPPIB transaction gives the hospitality arm a pre-listing institutional anchor and a benchmark valuation ahead of any eventual market debut.

CPP Investments Deepens Its India Real Estate Exposure
CPPIB is among the largest foreign institutional investors in Indian real estate and infrastructure, with an existing footprint across commercial property, hospitality and data centres. It recently agreed to invest up to ₹7,000 crore (about $740.5 million) in Indian data centre operator CtrlS Datacenters Ltd.
The Prestige deal continues that pattern — long-duration capital moving into operating Indian real assets with visible cash flows, at a point when branded hotel demand in metro markets remains firm.
What It Means for Prestige Group
For Prestige, the transaction is another step in drawing institutional capital into its hospitality vertical while retaining a majority stake in PHVL. The proceeds are expected to support the platform as it builds out its hotel pipeline.
The developer has followed a similar playbook before. In 2024, Mumbai-listed Prestige Group secured ₹2,001 crore from the Abu Dhabi Investment Authority (ADIA) and Kotak AIF for housing projects across four major cities as part of its expansion strategy. Prestige Estates Projects reported a consolidated turnover of ₹13,195.5 crore in the last financial year, while PHVL posted a standalone turnover of ₹345.9 crore.

The Bottom Line
If completed, CPPIB’s ₹3,000-crore commitment would give Prestige’s hospitality business a billion-dollar valuation marker, fresh growth capital and a globally recognised institutional partner — all while the parent keeps control. The next milestones to watch are the definitive documentation and the regulatory clearances that will determine the final stake and structure.
