What Prestige is buying
Gloind Vintage Infra is a young holding company. It was incorporated on 3 April 2025 with its registered office in Gurugram, works in real estate, construction and land development, and had no turnover in 2025-26.
The asset that matters sits one level down. Tarun Realtors, incorporated in December 2004 and based in Bengaluru, is a real estate development and construction company with a net worth of about ₹81.9 crore at the end of 2025-26, against a turnover of just ₹8.1 lakh. A large net worth with almost no revenue usually points to a company that holds land or a project still to be built. Once the deal closes, both companies become wholly owned step-down subsidiaries of Prestige Estates.
Why the shares cost ₹5 lakh but the deal is ₹519 crore
Enterprise value is the price of a company’s shares plus the debt and other money it owes. Prestige is paying only ₹5 lakh for the shares, so almost all of the ₹519 crore goes towards the obligations inside the two companies. In simple terms, Prestige is taking over the Bengaluru asset held by Tarun Realtors and settling what is owed against it, rather than paying the sellers a large sum for the company itself. One of the sellers is a special-situations investment fund, a type of investor that typically lends to or buys into stressed real estate and exits once the asset is sold.
How it fits Prestige’s plans
Prestige said the deal is purely business-driven and supports its plan to grow its real estate footprint. It comes as the developer has lined up over ₹40,000 crore of home launches for October 2026 to March 2027, and buying companies that already hold land is a faster way to add projects than buying plots one by one. The buyer, Prestige Retail Ventures, is the group company behind Prestige’s retail business. Prestige has not yet said what it will build on the Tarun Realtors land.
What it means for home buyers
There is no new home to book yet. Any housing project that comes out of this deal will need Karnataka RERA registration before it can be sold, and we will add it to BookNewProperty as soon as it is registered. Until then, you can compare the Prestige projects already on sale or explore new projects across Bengaluru.
